AskCimigo Terms of Service (Terms of Service)

AskCimigo provides online content via subscriptions (AskCimigo) provided by Cimigo Sole Member Limited Liability Company ("Cimigo") for your use ("Subscriber"). If your access to AskCimigo is funded, facilitated, or otherwise provided by an organisation, whether through direct payment, corporate licensing, or expense reimbursement, then both you and the organisation are jointly considered the 'Subscriber' and are jointly responsible for compliance with these Terms of Service.

1. Acceptance of the Terms of Service

By subscribing to or accessing AskCimigo, you agree to comply with and be bound by these Terms of Service. These Terms of Service constitute a legally binding agreement between you and Cimigo. If you do not agree, please refrain from using the service.

Please read these terms of service carefully before using AskCimigo. These Terms of Service take effect when you click an "I Accept" button or checkbox presented with these Terms of Service or when you use any AskCimigo content, services or website, whichever occurs first. These Terms of Service may be updated from time to time, as explained herein.

3. Modifications to the Terms of Service

AskCimigo may update these Terms from time to time, with 7 (seven) days' notice. Notice will be provided on AskCimigo or via email. Please refer to them regularly to ensure compliance. They can be found here (addlink). Continued use of AskCimigo after changes are made constitutes your acceptance of the updated terms.

Some services may be subject to additional terms specific to those services and will require your review and acceptance to use them.

4. Eligibility

You must be 18 or over to accept these Terms of Service and to subscribe to AskCimigo.

AskCimigo is intended for use by individuals and individuals acting on behalf of an organisation.

You must be authorised to enter into this agreement on behalf of your organisation. Where an organisation provides access to AskCimigo on your behalf, you confirm that that organisation authorises you to use the service, and that both you and the organisation accept responsibility under these Terms of Service.

If you agree to these Terms of Service on behalf of the Subscriber, you represent to Cimigo that you have the legal authority to bind the Subscriber legally.

5. Subscription and payment terms

Access to AskCimigo is provided via subscription. Pricing, billing cycles, and payment methods are detailed during the subscription process. Fees are payable in advance and are non-refundable except where required by law. Auto-renewal may apply unless otherwise specified.

6. Intellectual property rights

All content, insights, survey data, dashboards, and analytical outputs on AskCimigo are exclusive to Cimigo or its licensors. Redistribution, commercialisation, or resale is strictly prohibited without prior written consent.

All present and future intellectual property rights in AskCimigo and all of its content worldwide (including the right to exploit the Subscription Content) shall at all times be and remain the sole and exclusive property of Cimigo. All such rights are reserved for Cimigo's exclusive use.

Intellectual property rights, as detailed herein, survive the termination of your subscription.

7. Grant of rights

Cimigo grants you, the Subscriber, a limited, non-exclusive, non-transferable, and worldwide right to use AskCimigo content for yourself and internally within your organisation.

Cimigo grants the Subscriber a limited right to share snapshots of dashboards or excerpts from reports with external parties strictly for the purposes of internal business discussions, investment due diligence, or partnership development, provided that such excerpts are not published or widely distributed. Prior written consent is required for all other external use.

8. Subscriber conduct

You agree to:

  • Maintain the confidentiality of your subscription login username and password.
  • Notify us if you suspect unauthorised use(s) of your subscription login username and password.
  • Keep your subscription login username and password personal to you and for your use only.

You agree not to:

  • Allow another person to use your subscription login username and password.
  • Attempt to extract or scrape data outside of permitted use.
  • Reverse engineer or tamper with AskCimigo. Disassemble, decompile, reverse engineer, copy, translate, or make derivative works.
  • Misuse AskCimigo by knowingly introducing viruses, denial-of-service attacks, trojans, worms, logic bombs, or other malicious or harmful material.
  • Transmit any content or data that is unlawful or infringes any intellectual property rights.
  • Circumvent or endanger AskCimigo's operation or security.
  • Share subscription login username and password, or allow access to unauthorised users.
  • Use AskCimigo for unlawful or unethical research purposes.
  • Sell, transfer or assign your AskCimigo subscription or any of your rights.
  • Access AskCimigo by using a false identity.
  • Use AskCimigo with the subscription login username and password belonging to another person.

9. Data privacy and protection

AskCimigo processes personal and organisational data in accordance with our Privacy Policy.

No personally identifiable information from Subscribers will be shared unless explicitly permitted by consent. Cimigo solely uses personal and organisational data to provide, support and promote services from Cimigo.

10. Analyses of subscriber behaviour

Cimigo may create analyses utilising, in part, Subscriber data and information derived from Subscribers' use of AskCimigo, as set forth below ("Analyses"). Analyses used anonymised and aggregated information. Unless otherwise agreed, Analyses is only used by Cimigo. Analyses may be used for the following purposes:

  • Product improvement (product features and functionality, workflows, and user interfaces) and development of new Cimigo products and services.
  • Improving resource allocation and support.
  • Internal demand planning.
  • Training and developing machine learning algorithms.
  • Improving product performance.
  • Verification of security and data integrity.
  • Identifying industry trends and developments, creating indices and anonymous benchmarking.

11. Security

The Subscriber will maintain reasonable security standards for the use of AskCimigo. Subscribers will not conduct or authorise penetration tests of AskCimigo without advance approval from Cimigo.

12. Confidentiality

All information obtained by AskCimigo, including data, analytics, and user-generated insights, is confidential and intended solely for the Subscriber. Subject to Clause 7, limited excerpts may be shared externally for internal business discussions, due diligence, or partnership development.

Either party may list the other's organisation name and logo in customer (for Cimigo) or supplier (for Subscriber) lists in marketing collateral.

The Subscriber shall not make any marketing claims, sourcing AskCimigo or Cimigo without prior explicit written consent.

The Subscriber shall not make any claims based on information obtained on AskCimigo, including data, analytics, and user-generated insights, in any manner that exaggerates, distorts or misrepresents, or that is likely to harm Cimigo's reputation or business.

Confidentiality requirements, as detailed herein, survive the termination of your subscription.

13. Limitation of liability

To the maximum extent permitted by law, Cimigo shall not be liable for any indirect, incidental, special, or consequential damages arising from your use or inability to use AskCimigo, even if we were advised of the possibility of such damages. Cimigo shall not be liable for the other's loss of profits, loss of turnover, loss of data, loss of business opportunities, or consequential loss.

Cimigo's liability for any claims, demands, damages, costs (including legal costs) and expenses resulting from any tortious act or omission, and/or breach of these Terms of Service is strictly limited to the amount of any fees receivable by Cimigo in respect of your subscription.

Cimigo will update AskCimigo from time to time to improve performance, enhance functionality, reflect changes to the operating system, address security issues, or reflect changes in relevant laws and regulatory requirements. You acknowledge that access to AskCimigo may be restricted during such periods and that we have no liability to you for such restricted access.

Cimigo does not guarantee that AskCimigo will be secure or free from bugs or viruses. You are responsible for configuring your information technology and virus protection to access AskCimigo.

Cimigo is not responsible for any loss or damage resulting from denial-of-service attacks, viruses, or harm to computer equipment, computer programs, data, or other proprietary materials caused by using AskCimigo.

Limitation of liability, as detailed herein, survives the termination of your subscription.

14. Content disclaimer

All content provided on AskCimigo, including but not limited to dashboards, reports, survey data, analytical insights, and AI-generated responses, is for informational use only. That content should not be interpreted as professional advice. Cimigo shall not be liable for any loss, howsoever arising, from or in connection with the Subscriber's interpretation of the content on AskCimigo.

While we strive to ensure all content's accuracy, relevance, and timeliness, Cimigo does not guarantee the completeness, reliability, or suitability of any information provided. All content is presented "as is" without warranties of any kind, express or implied.

Users are solely responsible for:

  • Evaluating the accuracy and appropriateness of the content for their intended use.
  • Making business or strategic decisions based on their analysis and judgment.
  • Ensuring compliance with applicable laws and regulations when using insights provided by AskCimigo.

Cimigo shall not be liable for any direct, indirect, incidental, or consequential damages resulting from reliance on AskCimigo.

15. AI generated content and automated insights disclaimer

AskCimigo includes access to Artificial Intelligence (AI) powered assistants, chatbots, and automated insight tools to support user interactions, data interpretation, and report generation.

While these systems are designed to provide helpful and relevant information, you acknowledge and agree that:

  • AI-generated content may occasionally contain inaccuracies, incomplete data, or "hallucinated" (fabricated) information.
  • Such outputs are not a substitute for professional judgment, critical analysis, or direct verification of the underlying data.
  • AskCimigo does not warrant the factual accuracy, legality, or fitness for a particular purpose of any content generated by automated systems.
  • Any decisions based on AskCimigo AI outputs are made at the Subscriber's discretion and risk.

Cimigo shall not be held liable for any damages, losses, or misinterpretations arising from reliance on AskCimigo.

16. Termination of access

Cimigo reserve the right to suspend or terminate Subscriber's subscriptions, or access to specific content if you are a competitor, if the Terms of Service are violated, if there is suspected misuse, or if subscription fees are unpaid.

17. Third-party services

Some features on AskCimigo may integrate with or link to third-party services or websites. Cimigo is not responsible for those services or websites; their terms govern your interactions. Cimigo disclaims all warranties, express or implied, for third-party services. Cimigo is not responsible for and has not verified third-party services, websites' content, or privacy policies. The Subscriber will need to make their independent judgment about whether to use any such third-party services or websites, including whether to buy any products or services they offer.

18. Force majeure

We shall not be liable for failure to perform resulting from causes beyond our reasonable control, including but not limited to: prohibition or acts by government or public agencies, riot, war, hostility, public disturbance, strikes, other labour disputes and work stoppages, failure or interruption of the internet, transportation or other utilities, epidemic, pandemic, fire, flood, earthquake, storm, tidal wave or other acts of nature. Prior knowledge of an existing epidemic or pandemic will still be considered a new force majeure event.

19. Assignment

The Subscriber may not assign or transfer their rights under these Terms of Service without Cimigo's prior written consent. Any prohibited assignment shall be null and void. Cimigo may transfer our rights and obligations under this contract to another organisation. Cimigo will tell you in writing if this happens, and we will ensure that the transfer will not affect your rights under the Terms of Service.

20. Entire agreement

The AskCimigo Terms of Service and Cimigo's Privacy Policy constitute the entire agreement between you, the subscriber, and Cimigo regarding the use of AskCimigo, superseding all prior oral and written agreements or understandings regarding the use of AskCimigo.

No warranties, representations, promises or undertakings have been given or made by Cimigo to the Subscriber except those recorded in these Terms of Service.

No waiver by any party of any provision of or right or remedy under these Terms of Service shall be effective unless it is in writing, signed by such party and such waiver shall be effective only in the specific instance and for the particular purpose for which it was given.

No failure or delay by any party to exercise any right or remedy under these Terms of Service shall constitute a waiver of such party's right to demand compliance with these Terms of Service.

If at any time any one or more of the provisions of these Terms of Service becomes invalid, illegal, or unenforceable in any respect under Vietnamese Law, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired thereby.

These Terms of Service are between the Subscriber and Cimigo. No other person shall have any rights to enforce any of its terms.

21. Governing law and jurisdiction

The laws of Vietnam govern these Terms of Service and any disputes arising from them, and any disputes shall be submitted to the exclusive jurisdiction of the Vietnam courts in Ho Chi Minh City.

If any dispute arises out of or in connection with these Terms of Service, the parties undertake to use all reasonable endeavours in good faith to resolve it. If no dispute resolution can be reached within 30 (thirty) days from the date one party notifies the other party of the dispute in writing, any party may take legal action before the competent Vietnamese court for settlement.
